| 摘 要： | 现代公司法人制度的发展，要求公司与股东之间人格独立，但是滥用公司法人格却违背公平、正义的法理念，并最终损害公司债权人的合法权益，影响正常的社会经济秩序。西方国家为此创设了公司法人格否认系列法理，较为有效地解决了滥用公司法人格问题。我国虽尚未建立公司法人格否认法理，但法学界和司法界探讨研究得比较多，越来越多的人建议引入该制度。为准确把握公司法人格否认法理，有必要对国外适用该法理的主体要件进行分析。

| Abstract: | To establish contemporary corporate system,it is necessary for stockholders to be independent from the company in the aspect of personality. However, people who abuse corporate personality ignore the law theory of fairness and justice to harm the right of the creditors, and even confuse the normal economical environment. So in the western countries, the theory of repudiation of corporate personality has been created to solve this problem. Though this theory has not been adopted in our country, it has been studied by many scholars in China. Today, more and more people think we should adopt this theory. To understand the theory of repudiation of corporate personality, it is necessary to analyze presonalities in the application of the theory. |
