| 摘 要： | 台湾“民法”第245条第1款第(二)项规定了缔约当事人的单方明示要求保密的诚信义务，保护的是信赖利益；大陆《合同法》第43条规定了当事人的独立的商业秘密的法定义务，保护的是商业秘密权益本身。商业秘密的缔约责任是以当事人间存在缔约关系为前提条件的，不以合同未成立为必要条件的违反法定商业秘密义务的法定债的关系。商业秘密的缔约责任与缔约责任分条立法是比较科学的模式。

A Comparative Study of Contract Duty on Business Secrecy between Mainland and Taiwan |

| Abstract: | This paper compares the contract duty on business secrecy in mainland with that of Taiwan.Both article 43 in Contract Law of mainland and article 245,clause 1 in Civil Law of Taiwan stipulate the contract party to take responsibility of maintaining business secrecy,and protect trust interest.The contract duty of maintaining business secrecy is in accordance with contract relationship between the two parties. |
