| 摘 要： | 在司法实践中,明股实债交易的外观主义适用范围有扩大化的趋势,业界对商事外观主义的适用条件还存在争议。在股债性质界分过程中,应用商事外观主义,必须符合一定的构成要件,必须存在有外观事实、善意第三人的合理信赖,且交易行为和公司法保护的信赖之间存在因果关系。

| Abstract: | In the judicial practice,there is a tendency to generalize the application of externalism in the transaction of clear shares and real debts,and there are disputes on the application conditions of commercial externalism.In the division of the nature of stock and debt,the application of commercial appearance doctrine must meet certain constitutive requirements.It needs the existence of appearance facts,the reasonable trust of the third party in good faith,and there is a causal relationship between the transaction behavior and the trust protected by the company law. |
