| 摘 要： | 公司成立前合同的签订是顺利成立公司必不可少的前提，对于此合同责任承担的不同界定会直接影响到各方的交易利益与交易风险，从而影响其参与投资或交易的信心。这就要求我国在立法时要细致全面，对公司成立前合同划分不同的类别，对每一类别的合同效力与责任承担分别界定。平衡公司、发起人以及合同相对方各方的利益，制定出以保护主体营利性行为为目的的不同于民法的特别的商事规则。
