| 摘 要： | 阐析管理层收购(MBO)在明晰产权、降低代理成本、激励高管人员等方面的积极作用,结合中国MBO的现实,分析以MBO作为股权激励机制,实现国有股减持的偏颇,探讨当前MBO中存在的企业绩效低下、高派现、低收购价、会计信息操纵等问题并提出对策。

| Abstract: | Since its application, MBO has shown great advantages in clarifying ownership, reducing agency-costs and encouraging managers. On the basis of MBO practice in China, this paper analyses the disadvantages that regard MBO as the incentive mechanism and realize privatization of state-owned shares through MBO, and discusses poor operation, high cash dividend, low purchasing price, accounting information manipulation issues that exist in present MBO. |
