摘    要:使用外国商家做经销商或销售代理是出口贸易商在国外促销产品、拓展市场的一个重要渠道。出口贸易商在使用外国商家做经销商或销售代理时,需要面对众多的法律问题,本文为我国的出口贸易商介绍了国外有关立法,剖析了国际经销和销售代理协议中的一些重要条款,并提出相应的建议。

Abstract:The employment of foreign individuals and/or enterprises as their distributors or sales representatives is one of the main channels for exporting merchants to promote the sales and develop the market for their products abroad. In the course of such employment, exporting merchants shall be confronted with various legal issues. This article is written for the introduction of relevant foreign legislations, the analysis of the main clauses in the international distribution and sales agency agreements and the corresponding recommendations.
