| 摘 要： | 已被公司登记机关批准登记为公司并获得营业执照后 ,发现存在有设立过程中并未完全依照法律规定的条件和程序设立公司的情形 ,这种情形被称为公司设立瑕疵。从西方国家尤其是大陆法系国家的法律规定的经验看 ,我国公司法应该完善公司设立撤销制度来处理公司设立瑕疵问题。

| Abstract: | A company that has been enrolled, is found to have conducts that have not completely abided by the Corporation Law. This is called defective incorporation. After comparing and analyzing legal provisions of Western World, especially the Common Law, the author advocates that withdrawal system of corporate formation should be perfected in China's Corporation Law to deal with the defective incorporation. |
