| 摘 要： | 公司治理结构是现代公司制的核心.股份有限公司治理结构在公司内部主要是通过公司组织机构分权制衡的职权设计及股东、董事、监事的权力义务规定来实现的，在我国主要受《公司法》的规范。我国股份有限公司的治理结构存在制度缺陷。因此完善股份有限公司的治理结构，对于推动我国公司制度的发展具有十分重要的意义。

| Abstract: | Corporation Governance is key of modern corporation system. The governance for holding limited corporation is realized through designing positions and powers in an internal balance organization, and limiting powers and duties of stock holders, directors and supervisors, especially, it is standardized under Corporation Law in China. Governance for holding limited corporation in China is not perfect now in system. Therefore it has very important significance for improving the development of corporation system in China to perfect the governance for holding limited corporation. |
