| 摘 要： | 从襄樊市国企改制战略的实施情况来看，国企改制战略实施的过程中，容易出现缺乏收购主体、收购资金不到位、金融债务化解难度大、投资环境完善的力度与水平不足、公司治理结构的完善缺乏整体考虑和忽视激活内资对区域经济发展的重要性等问题。为提高改制的质量，一方面应该快速推进改制的进程，重点跟踪和扶持行业龙头的改制，另一方面应该着手全面完善地区投资环境，认真地按企业类别不同研究和完善与之适应的治理结构，并考虑在合适的企业选择能激活内资的改制模式(如ESOP)与公司治理结构。

| Abstract: | In the process of implementing the reform strategy of SOEs,such problems easily occur as the lack of buyers,the absence of buyers' capital,the difficulty of dealing with debts,the poor investment environment,want of consideration of corporates' governing structure,and neglect of the importance of inner capital for regional economic development.How to enhance quality of SOEs reform?On one hand, the course of SOEs reform should be quickened effectively, and the leading corporate of each industry in those regions should be tracked and supported specially.On the other hand, the investment circumstance should be perfected thoroughly, and different corporate governing structures that match different corporations should be studied seriously and adopted suitably, and the manners of SOEs reform (such as ESOP) and the corporate governing structures that could activate inner capital should be adopted by appropriate SOEs. |
