摘    要:如何充分发挥经营者的经营管理才能?如何针对企业管理人员的行为特征建立有效的约束、激励机制,从而解决经理激励机制不力、约束机制不健全的问题,是提高经济活动运行的效率、调动人们积极性的动力机制问题。调动积极性,一要靠激励,二要靠约束,为此,必须建立所有者对经理的约束、激励机制,实现资产的保值增值。

Abstract:How to give full play to the abilities of a manager? It is to raise the efficiency of economic activities and the working enthusiasm in the power mechanism to build effective restraining and incentive mechanism, thus to solve the problem in the inability of a manager encouragement mechanism and in the imperfect of restraining mechanism according to the characteristics of the managers' activities. To raise the working enthusiasm, incentive and restraining are very important. So this thesis analyses the problem of the owner building restraining and incentive mechanism to the manager and obtaining preserved and even increased assets.
