| 摘 要： | 公司法人人格否认是指在具体法律关系中,基于特定事由,而否定公司法人独立人格,直接追究股东责任的一种制度。我国公司法应当引入这一制度,完善我国的公司资本制度。通过对公司法人人格制度的理论基础、适用条件和效力的认识,提出在我国适用公司法人人格否认制度的具体措施。

| Abstract: | Company legal personality denial refers to such a system that in a concrete legal relation,which based on a specific reason,denying company's independent legal personality,and affixing legal liabilities to shareholders.China Company Law should introduce this system to perfect our company capital system.By understanding the theoretical basis,applicable conditions and effect of company legal personality system,it puts forward to concrete measures for company legal personality denial system applied to China. |
