| 摘 要： | 保护投资者的法律与资本市场以及经济增长之间存在正相关关系。中国证券法律缺陷主要表现在法制理念和立法技术两方面。前者是因为对证券市场的认识与证券市场的发展变化存在时滞、证券立法不可能与证券市场的需要完全一致，后者是因为我国证券市场的制度设计导致法律的惩戒机制与吓阻功能失灵。国有资产保全与法律惩戒机制存在冲突是我国证券法律一直未能规定民事赔偿责任的原因，也是国家在证券法律制定中不得不做出的逆向选择。

| Abstract: | The law to protect investors is positively related with capital markets and economic growth.The defects of China's securities law are manifested in the following two aspects: one is defects of the law idea;the other is defects of the lawmaking technology.The reason for the former is that there is some lag between the knowledge of securities markets and the development of securities markets.And the reason for the latter is that the system design of China's securities markets engenders the punishment function and the deterrence function of law to fail.There are some conflicts between the preservation of state-owned property and the punishment mechanisms.This is why the securities law has not stipulated the liability of civil compensation.It is also the adverse choice for China to make in the making of securities law. |
