| 摘 要： | 负债不仅仅是一种企业融资方式,还具有公司治理功能。资本结构在公司治理中的作用主要体现为负债对经理人的激励和约束作用,影响经理人的投融资行为,进而影响公司经营绩效。大量的实证研究表明,资本结构与公司经营绩效之间具有密切的联系,但并未取得一致的研究结论。文章对国内外的相关研究文献进行了系统的梳理和评析,并指出进一步研究的方向。

| Abstract: | The debt is not just one of the financing styles,and it also has the function of corporate governance. The function of the capital structure in corporate governance embodies its incentive and restriction to managers,to affect their behavior about investment and financing,thereby influence the corporate operating performance. A large number of positive researches have shown that there was a close ties between the capital structure and the firm operating performance,but did not obtain a consistent conclusion. This paper reviews the related literature and tries to point out the research direction for the further. |
