| 摘 要： | 越南经济改革是《越南民法典》编篡和修订的原动力，外国法律援助是该法典编篡成功的重要原因，但我们不能不注意外国法律援助背后的动机，在学习借鉴外国法律时应当注意和本国国情相结合。《越南民法典》在体例和内容上都有不少值得我们学习和思考的地方，比如知识产权纳入民法典、强化土地使用权保护等。

| Abstract: | The economic reform of Vietnam is the impetus to the compilation and amendment of Civil Code of DRVN, and the foreign law assistance is the important cause of its successful compilation and amendment. In the course of receiving the foreign law assistance, attention must be paid to the motives behind it and the integration with the actual conditions of the country. It is worthwhile for us to learn something from the content and structure of this civil code, such as the incorporation of intellectual property into the civil code and strengthening the protection of the right to land use. |
