| 摘 要： | 我国城市商业银行公司治理结构的严重缺陷表现为股权同质、三会制度缺位、内部人控制等诸多方面；其产生的严重危害和金融业愈演愈烈的竞争使得完善城市商业银行治理结构刘不容缓。引入增量丰富股权结构、组建代表股东利益的董事会、建立并完善国有出资人的代表机构、联合与重组抗地方政府干扰、通过市场竞争提供银行矫正的内源动力是可供选择的理想途径。

| Abstract: | There are many disadvantages in our city commercial bank's corporate governance, such as shareholder homogeneity, absence of directorate, inside people control; the harm following with it and the fiercer competition in financial industry force us to consummate the corporate governance right now. That enriching the structure of shareholder,setting up standard directorate, uniting and recombining to resist the local government's disturbing, absorbing impetus from market competition are the feasible perfect approaches. |
