| 摘 要： | 发起人在公司成立过程中占有相应重要的地位。为健全公司人格，保护公司利益，保障第三人债权，明确发起人民事责任十分必要。考察主要国家的公司立法，发起人的民事责任包括出资违约责任、资本充实责任、出资赔偿责任、冒滥行为赔偿责任、违反信义义务赔偿责任、发起人对成立中公司的责任以及公司不成立时发起人的责任。我国公司法关于发起人民事责任的规定内容单薄，不尽科学，应当合理吸收国外成熟经验，结合我国实际，完善公司发起人民事责任法律规制。

| Abstract: | The promoter occupies the important status in the course of setting up in the company correspondingly. For perfecting company personality, protecting company interests and ensuring creditor's rights, it is very essential to clear promoter's liability. We should observe the company legislating of the main countries, promoter's civil liability including liabilities of provided funds for breach of contract, capitals substantiating, compensating for Provide funds, compensating for false and abuse behaviors, compensating for credit violation, and the promoter in course of company establishing. The content of provision on promoter's civil liability of company law is pretty weak and unscientific in our country, which should absorb foreign ripe experience rationally, combining the reality of our country, perfect the legal rule of the Promoter s civil liability. |
