| 摘 要： | 本文论述了少数股东权利保护,独立董事制度,独立董事制度在保护少数股东权利方面的意义和作用,我国独立董事制度的缺陷,以及独立董事制度的完善等几个方面,并提出了完善我国独立董事制度的一些措施与建议。
