| 摘 要： | “独立董事”制度的引进是我国最新修订的公司法为完善公司治理结构所做的又一次立法努力和尝试。要合理建构独立董事与监事会的关系,实现“独立董事”与我国现有“二元制”公司治理结构的无缝对接,必须考察两者的产生与发展轨迹,从准确定位独立董事和监事会监督性质、明确界定独立董事与监事会的不同职责、完善独立董事与监事会自身机制三个方面努力。

| Abstract: | The introduction of "independent directors" is another attempt and exertion made to perfect corporate governance structure. In order to construct the relationship between them properly and realize the integration of independent directors and the present corporate governance structure, and exploration of the development history of both independent directors and supervisory committee must be made. Besides, an effort should be made to clarify their supervisory nature, different duties and mechanism of themselves. |
