| 摘 要： | 为推动国内以专利为标的资产的知识产权证券化融资发展,在总结国内知识产权资产证券化典型模式的基础上,从融资租赁、小额贷款债权、专利许可3种证券化模式出发,选取能分别代表上述3种模式的第一创业-文科租赁一期资产支持专项计划、平安证券-高新投知识产权一号资产支持专项计划和兴业圆融-广州开发区专利许可资金支持专项计划作为案例进行研究,并从项目的运作模式、运作流程和关键要素等方面进行对比分析.研究表明科技型企业利用知识产权证券化模式融资切实可行且必要;同时提出在对知识产权进行转让时应特别关注真实销售的界定标准,作为基础资产的知识产权必须是权利边界和状态清晰稳定、权属明确且能科学评估价值,是多层次的差异性知识产权,以及需要注重采取信用增级措施提高基础资产的质量和信用等级等建议.

| Abstract: | On the basis of summarizing the typical model of intellectual property asset securitization. Starting from three securitization models named financial leasing, small loan claims and patent licensing , three intellectual property securitization projects representing the above three models, namely " Wenke phase I ABS ", "High-tech Intellectual Property Investment No. 1 ABS" and "Kaide Leasing ABS", were selected as cases for analysis and research. This paper introduces and analyzes the operation situation, participants and basic assets of these three projects in detail, it also makes a comparative analysis of the operation mode, operation process and key elements of patent asset securitization, and proves that it is feasible and necessary for science and technology enterprises to use the mode of patent asset securitization for financing, which has reference significance for enterprises to correctly choose the financing mode, operation process and key elements when they implement the financing of patent asset securitization. |
