| 摘 要： | “特征性履行说”以合同的特征性履行性质对合同进行划分,并以“特征性连结点”为最密切联系的连结点,与其采取“形式正义”的价值取向是分不开的。主要强调对受雇人正当利益的有效保护,致力于选择适用较为均衡地协调雇佣人和受雇人之间权利、义务关系的法律,而将受雇人提供劳务的行为,视为特征性履行行为;将对受雇人相对有利或比较熟悉的国家的涉外民商事法律作为合同准据法。

| Abstract: | "Theory of Characteristic Performance"categorizes the contracts according to the quality of the characteristic performance of the contracts,with"Characteristic connection point" as its connecting point of intimate connection which is indispensable to the value orientation of "formal justice".This theory emphasizes the effective protection of the right profits of the hired,with a choice of laws which can best coordinate the right and obligation relateonship between the hirer and the hired.The service from the hired is viewed as characteristic performance.The civil and commercial laws of the country which are beneficial to the hired or which the hired are familiar wiith are regulated as Contract Criterion Law. |
