| 摘 要： | 跨国并购已经成为我国吸引外资的重要方式,在中国企业频频发起的并购中,无论失败与成功都受到了来自本国和东道国产业和竞争政策的影响。产业政策和竞争政策作为国家干预经济的手段对保护国家经济的安全和防止垄断有着重要的作用。本文通过对中海油收购优尼科失败原因的分析,论述产业政策和竞争政策对跨国并购的作用,并在此基础上提出如何在跨国并购中实现我国的产业政策和竞争政策。

| Abstract: | Merge and Acquisition of trans-corporation has been the main mode of attracting foreign capital for China.Every case that sponsored by the corporations of China always be affected by the policies of China and host countries.Industrial policy and competitive policy play an important role in protecting the country's economic safety and prevention the monopoly as the tool that used by country to tampered the economics.This article will explain the impact of industrial policy and competitive policy during the course of merge and acquisition of trans-corporation by analyzing the fail reasons of CNOOC(China National Offshore Oil CORP.),and on the basis of that,expound how to achieve our country's industrial policy and competitive policy in the merge and acquisition of trans-corporation. |
