| 摘 要： | 公司治理结构与治理机制发育不对称,有治理结构而治理机制缺失是我国公司治理实践中的主要问题之一。这与我国公司治理形成主要依靠人为的、强制性的制度创新方式有密切关系。监督约束机制缺失是我国公司治理机制中的主要问题,这既与最初的公司治理结构设计失误有关,也与后来公司治理创新中的英美化趋势有直接联系。要进行我国公司治理的创新,应将监事会与董事会合并为一个组织,与经营管理机构形成制衡关系。在对公司治理结构作出上述调整后,创新应更多依靠产权主体的自发性交易。

| Abstract: | Corporate governance structure and the mechanism have been undergoing an asymmetrical development: the existence of governance structure but lack of governance mechanism, the phenomenon of which has much to do with the style of man-made, compellent system innovation. In fact, this has been the main problem for Chinese corporate governance, i.e. want of a supervision and restriction mechanism. It is not only concerned with the muffs in Corporate governance structure design, but also much related with the tendency of imitating the relevant British and American performing styles. The proposal for the problem is combine the collective board and the board of directors into one organization to form a balanced linkage with management setups. And after the adjustment, innovation should rely more on the property owners' self-determination. |
