| 摘 要： | 我国的国有企业上市公司由于“内部人控制”、“股权结构”、“资本市场”等原因的影响，形成了不完善公司治理结构，不完善的公司治理结构导致我国上市公司不能健康地发展。因此，健全和完善上市公司治理结构，是国企改革的重要任务。

The imperfect corporate governance structure makes those companies develop improperly. Therefore, how to perfect corporate governance structure is the most important task for the state-run enterprises. |
